End User License Agreement

Subject to your full compliance with this End User License Agreement ("EULA") and payment of the applicable fees (if any), BEY AGENCY LTD grants you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide licence to use, modify and integrate the licensed deliverables ("Licensed Materials", including Launchpad source code, templates, documentation and ancillary files) for your internal or commercial projects, subject to the restrictions in Section 3.

• Use Licensed Materials as a foundation for websites, web applications or products that you, your employer or your clients control.
• Modify the Licensed Materials to fit your project.
• Create as many end-product projects as you wish using the Licensed Materials, provided each end-product is substantially customised and is not itself a redistribution of the Licensed Materials.

You shall not:

• Redistribute, resell, sublicense, rent, lease or sell the Licensed Materials (or any substantial portion) as a template, starter, boilerplate or component library.
• Upload the Licensed Materials to a public or privately shared repository in a form that allows third parties to obtain a working starter without purchasing their own licence.
• Include Licensed Materials in any product or service that competes directly with AI2 Design Launchpad.
• Remove, alter or obscure any copyright, licence or attribution notice contained within the Licensed Materials.
• Use the Licensed Materials in any unlawful manner, to infringe intellectual property rights, or to violate applicable regulations.

All right, title and interest in and to the Licensed Materials, including all intellectual property rights, remain with BEY AGENCY LTD and its licensors. No rights are granted other than those expressly stated in this EULA.

From time to time we may release updates to the Licensed Materials. Your entitlement to updates is defined by the specific purchase or subscription terms under which you obtained the licence. We are not obliged to release any update, backport, patch or fix.

The Licensed Materials include third-party open-source components subject to their own licences. Those licences accompany the relevant source files and apply to the corresponding components. Nothing in this EULA overrides those third-party licences.

All fees and amounts paid to BEY AGENCY LTD for the Service — including but not limited to sponsorship fees, license fees, and subscription fees — are final and non-refundable, except where expressly required by applicable mandatory law. No partial, pro-rated or full refund is offered for unused time, cancelled sponsorships, editorial disagreements, feature changes, service downtime or dissatisfaction.

THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. BEY AGENCY LTD DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS AND QUIET ENJOYMENT. YOU USE THE LICENSED MATERIALS ENTIRELY AT YOUR OWN RISK.

Liability under this EULA is governed by, subordinate to, and aggregated into the single combined cap set out in /legal/terms Section 11. In no event shall BEY AGENCY LTD's total aggregate liability under this EULA, taken together with all other liability across the Service, exceed the cap defined in those Terms. IN NO EVENT SHALL BEY AGENCY LTD BE LIABLE FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITY, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

This EULA remains in effect until terminated. We may terminate the licence immediately on written notice if you materially breach any term of this EULA. Upon termination, you shall cease all use of the Licensed Materials and destroy all copies in your possession. Sections relating to ownership, payment, warranty disclaimer, liability and governing law survive termination.

This document, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
