ai2 is a design system operated by BEY AGENCY LTD, a company registered in England and Wales under company number 16435596. This page explains how ai2 is licensed. ai2 follows an open-core model, so two distinct licences apply depending on which material you use.

The open core is free and licensed under the MIT License. It covers the base UI components, the shadcn registry items and the documentation code. Once you install these into your project through the shadcn CLI, the code lives in your repository and you work with it as your own, on the terms set out in the MIT License below.

The premium material, offered under the Pro and Ultimate plans, is governed by a separate commercial licence rather than by the MIT License. Paid licences are provided by BEY AGENCY LTD and sold through Polar Software, Inc., our merchant of record, which processes the payment; on purchase you receive a licence key by email, which you validate in the licence portal to reach the downloads for your tier.

The table below maps each surface of ai2 to the licence that governs it. Not every premium surface has been delivered yet: the ones that exist today are covered by the commercial licence now, and the ones still in preparation are covered by it as and when they ship to your tier. The pricing page marks which is which, and nothing in this table should be read as a promise that a surface already exists.

The open-core material is provided under the MIT License. In plain terms, you are free to use, copy, modify, merge, publish, distribute, sublicense and sell copies of the software, in personal and commercial projects alike, without paying a fee. The only condition is that the copyright notice and the permission notice are included in all copies or substantial portions of the software, and the software is provided as is, without warranty.

The MIT License applies only to the open-core software described above. It does not extend to the following, each of which is governed by other terms.

• The premium Pro and Ultimate material, which is governed by the separate commercial licence described below.
• The ai2 name, wordmark and logo, which are not licensed by the MIT License and remain the property of BEY AGENCY LTD.
• Third-party open-source dependencies bundled with or referenced by the components, each of which keeps its own upstream licence.

The premium material includes premium Framer, Next.js and Figma themes, premium blocks and sections and MCP Pro. This section and those that follow set out the commercial licence that applies to it.

When you purchase a Pro or Ultimate plan, a licence is granted to you in accordance with the plan you buy. The licence is a non-exclusive, worldwide right to use the premium material within your own products, subject to the permitted uses and restrictions set out below. The scope of the grant, including seat and team limits, follows the specific plan you buy: Pro is a single seat and Ultimate covers up to ten seats. Both are one-time purchases with lifetime access to the tier you buy.

A seat is one individual person who uses, installs, edits or builds with the premium material. Your licence permits use by up to the number of seats in your plan at any one time: one individual under Pro, and up to ten individuals under Ultimate. The end products you build and ship stay unlimited on either plan; seats limit the number of people who work with the premium source, never the projects you deliver.

You may reassign a seat from one individual to another, for example when someone joins or leaves your team, provided the number of people using the premium material at any one time does not exceed the seats in your plan. If more people need to use it than your plan allows, an upgrade to a plan with enough seats is required, and using the premium material beyond your seat count falls outside the licence granted.

We do not monitor your seat usage automatically. The premium material is delivered to you to keep, so there is no licence check running inside it and nothing reports back to us. The seat limit is a term of this licence that you agree to keep to in good faith. We may, on reasonable written notice and no more than once a year, ask you to confirm the number of individuals using the premium material, so that the seats you hold match your actual use.

How the material reaches you: your licence key is issued by Polar Software, Inc., our merchant of record, and emailed to you on purchase. You enter that key in the licence portal at /license, we validate it, and we send a delivery link to the email address on the licence. For the Framer products that link opens the project in Framer and copies it into your own account; other surfaces are delivered in the form appropriate to them as they ship.

Download requests are subject to a fair-use limit, currently twelve downloads per rolling twelve hours per licence. The limit is counted against your licence rather than your IP address, so colleagues on a shared connection do not consume each other's allowance. It exists to stop a leaked key being drained, and we may adjust it; the figure in force is shown in the licence portal when you are signed in.

Under the commercial licence, and subject to the plan purchased, you are permitted to do the following with the premium material.

• Use the premium material in an unlimited number of personal and commercial end products that you, your employer or your clients control.
• Modify and adapt the premium material so that it fits the design and requirements of your end product.
• Ship the resulting end product to your own users and customers as part of a substantially customised application.

Under the commercial licence, you are not permitted to do any of the following.

• Redistribute, resell, sublicense, rent, lease or otherwise make available the premium source, or any substantial portion of it, as a template, starter, boilerplate or component library.
• Open-source, publish or upload the premium source in a form that allows third parties to obtain a working copy without purchasing their own licence.
• Use the premium material to build or operate a product or service that competes with ai2, such as a competing component library or template marketplace.
• Remove, alter or obscure any copyright, licence or attribution notice contained within the premium material.
• Share, publish, sell or lend your licence key, or let it be used beyond the seats your plan covers. The key is the credential that unlocks your downloads, so treat it the way you would treat a password rather than a discount code.
• Circulate a download link or remix link we send you. Those links are issued to you for your own seats and are not for onward distribution.

All right, title and interest in and to the premium Pro and Ultimate source, including all intellectual property rights, remain with BEY AGENCY LTD and its licensors. The commercial licence grants only the rights expressly stated for the plan purchased; no other rights are granted by implication or otherwise.

For the open core, the MIT License governs your rights in full. Aside from the rights the MIT License grants, BEY AGENCY LTD reserves all rights it holds in the open-core material, and this reservation does not limit anything the MIT License permits.

The commercial licence is a one-time purchase with lifetime access to the tier you buy. It is perpetual for the versions of the premium material released while your licence is active, meaning you can continue using those versions indefinitely, subject to the restrictions above. Each new premium surface assigned to your tier lands for you as it ships. We are not obliged to release any particular update, backport, patch or fix, and the exact update entitlement of each plan is set out at the point of purchase.

Perpetual does not mean unconditional. The rights granted in section 5 are granted on the condition that you keep to the restrictions in section 7. If you materially breach them, for example by redistributing the premium source or by publishing your licence key, we may suspend your access to downloads and, where the breach is serious or you do not put it right within a reasonable period after we ask you to, terminate this licence by written notice.

If this licence is terminated for breach, you must stop using the premium material and delete the copies you hold, except that end products you have already shipped to your own customers may continue to be used and supported by them. Termination does not entitle you to a refund, and it does not affect the MIT open core, which remains yours under the MIT License regardless of what happens to the commercial licence. Sections 7, 8, 10, 12 and this section survive termination.

If your purchase is refunded or reversed, whether by us or by Polar as merchant of record, the commercial licence ends on the same terms as above from the date the refund is issued.

The ai2 name, wordmark and logo are trademarks of BEY AGENCY LTD. They are not licensed by the MIT License and they are not licensed by the commercial licence. Neither licence grants any right to use these marks.

You may make accurate, descriptive references to ai2, for example to state that your project uses ai2 components. You may not use the ai2 name or marks in a way that implies endorsement, sponsorship or affiliation, or in a way that misrepresents the origin of your product.

The ai2 components build on third-party open-source software. Each such dependency is provided under its own licence and is not relicensed by ai2. You are responsible for reviewing and complying with the licence of each dependency you install and ship.

Dependencies the components rely on include, for example, the following.

• lucide-react
• tw-animate-css
• motion

This list is illustrative rather than exhaustive, and the precise dependencies of any given component are declared with that component when you install it.

The open-core material is provided as is, without warranty of any kind, as stated in the MIT License text above. The premium material is likewise provided on an as-is basis to the extent permitted by law: we do not warrant that it is free of defects, that it will meet your requirements, or that it will work uninterrupted in every environment you put it in. Our aggregate liability in connection with the premium material is limited as set out in section 14 of the Terms of Service at /legal/terms, which applies to this licence as well; nothing here creates a second, separate cap.

Nothing in this License limits or excludes any liability that cannot be limited or excluded under applicable law, and if you deal with us as a consumer, your statutory rights are not affected by anything on this page.

We may update this License page from time to time to reflect changes in the material we offer or the terms of the commercial licence. The version and last-updated date shown with this document indicate the current revision. The MIT License already granted for a given release of the open core is not withdrawn by any later change to this page, and the commercial terms that applied to a purchase at the time it was made are not reduced by a later change.
